These Terms and Conditions apply to all business relationships between:

and its business customers.
Our offers are directed exclusively at entrepreneurs, commercial customers, wholesalers, manufacturers, retailers, importers and distributors.
All offers, quotations, price lists and product information provided by NaturWorks are non-binding unless expressly agreed otherwise in writing.
Product availability, pricing, lead times and specifications are subject to confirmation at the time of order.
A contract is only concluded when:
Verbal agreements require written confirmation.
NaturWorks supplies natural food products and ingredients.
Minor deviations in:
do not constitute a defect where such variations are common in agricultural and natural products.
Product specifications and quality parameters are agreed individually for each transaction.
All prices are quoted:
unless expressly agreed otherwise.
Invoices shall be payable within the agreed payment period.
In the absence of a separate agreement, payment shall be due within:
14 days from invoice date
without deduction.
NaturWorks reserves the right to require:
Delivery dates are estimates unless expressly confirmed as binding.
NaturWorks shall not be liable for delays caused by:
Risk passes to the buyer in accordance with the agreed Incoterms® rule.
If no Incoterm is agreed, risk transfers upon handover to the carrier.
Customers must inspect goods immediately upon receipt.
Any visible defects must be reported in writing within:
5 business days
after delivery.
Failure to notify within this period constitutes acceptance of the goods.
All goods remain the property of NaturWorks UG until full payment has been received.
NaturWorks shall only be liable in accordance with applicable statutory law.
Customers are responsible for ensuring that products comply with local legal requirements for their intended use and market.
Where products are supplied as organic products, NaturWorks will provide relevant certification documentation where required.
Organic status applies only to products specifically identified and documented as certified organic.
NaturWorks shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including:
Business information, quotations, specifications and commercial terms provided by NaturWorks shall be treated as confidential unless otherwise agreed.
These Terms and Conditions shall be governed by the laws of the Federal Republic of Germany.
The exclusive place of jurisdiction for all disputes arising from business relations with NaturWorks shall be:
Frankfurt am Main, Germany
to the extent permitted by law.
